Terms of Service & Risk Disclosure

Effective 2026-09-21. Please read this carefully before enabling live trading — it explains who bears responsibility for your trades, and it isn't us.

1. The service

What this service is

PrimeLayer Trades ("PrimeLayer," "we," "us") is software that connects to a brokerage account you control and executes trades according to strategies you select, configure, build, or import ("Strategies"). You choose which Strategy runs, on which symbol, with what sizing and risk limits, and whether it runs in paper mode or live mode against real funds.

We do not select, recommend, manage, or exercise any discretion over your Strategies or your trades. We are not a broker-dealer, investment adviser, or fiduciary, and nothing in the service constitutes investment, financial, tax, or legal advice. Any market analysis, AI-generated commentary, or "Market Brief" content the platform shows you is informational only and never executes a trade on its own — you decide whether to act on it.

2. Assumption of risk

You direct your trading. You bear the risk of it.

Every trade placed through your account is placed at your direction and at your sole risk. You choose the Strategy, you choose to turn automation on, and you choose to switch a bot from paper to live. PrimeLayer does not guarantee the performance, profitability, or suitability of any Strategy — including Strategies we provide in a library, generate from a natural- language description, or that you build yourself.

To the fullest extent permitted by law, PrimeLayer is not liable for any trading losses, missed gains, or other financial harm arising from your use of the service, whether caused by a Strategy performing as designed, a Strategy performing unexpectedly, a market move, a broker outage or execution issue, a delay or interruption in our software, or any other cause. Losses from live trading are yours alone, exactly as they would be if you placed the trades yourself.

3. Know what you're accepting

Risk disclosure

Automated trading carries risks beyond ordinary investing. In particular:

  • Past performance, including backtested performance, does not predict future results. A Strategy that performed well against historical data, or in paper mode, can still lose money once live — markets change, and a backtest cannot capture every real-world condition.
  • Markets move fast, and automation moves with them. A Strategy can enter or exit positions rapidly and repeatedly, including during volatile conditions, news events, or thin liquidity, which can amplify losses.
  • Cryptocurrency is especially volatile and can lose a substantial portion of its value in a short period. Only trade with capital you can afford to lose.
  • Technology can fail. Network interruptions, broker API outages, data feed errors, or a bug in our software or in a Strategy's logic can cause a trade to be missed, delayed, duplicated, or executed differently than intended. Our risk limits and kill switch reduce, but do not eliminate, this risk.
  • Total loss is possible. Depending on your position sizing and risk settings, it is possible to lose some or all of the capital allocated to a Strategy.
4. What's on you

Your responsibilities

  • Your brokerage account, and any funds or positions in it, are yours — we never take custody of them.
  • You are responsible for the permissions on any API key you connect, for complying with your broker's own terms of service, and for complying with any law or regulation that applies to your trading activity in your jurisdiction.
  • You are responsible for reviewing and understanding any Strategy before enabling it, including one you did not write yourself.
  • You are responsible for monitoring your account and for using the risk limits, dry-run mode, and kill switch appropriately for your own risk tolerance.
5. Limitation of liability

Service provided as-is

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation.

To the fullest extent permitted by law, PrimeLayer and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or trading capital, arising from or related to your use of the service — even if we have been advised of the possibility of such damages. Where liability cannot be fully excluded under applicable law, our total liability to you for any claim arising from the service is limited to the amount you paid us in subscription fees in the three months before the claim arose.

Indemnification

You agree to indemnify and hold PrimeLayer harmless from any claim, loss, or expense (including reasonable legal fees) arising from your trading activity, your violation of these terms, or your violation of any law or third-party right, including your broker's terms of service.

7.

Changes to these terms

We may update these terms as the service changes. If we do, we'll change the effective date above, and you'll be asked to accept the current version again before enabling live trading — your acceptance of a specific version is recorded and tied to that version.

8.

Termination

You may stop using the service at any time by disabling your bots and disconnecting your broker connections. We may suspend or terminate access to the service for violation of these terms or for conduct that puts other users or the platform at risk.

9.

Governing law

These terms are governed by the laws of [jurisdiction to be specified], without regard to its conflict of law principles, and any dispute arising from these terms or the service will be resolved in the courts located there.
